Participating Business Agreement & Terms of Use
This Participating Business Agreement and Terms of Use (Agreement) governs the relationship between MLO Networks (Company, we, us, or our) and participating local businesses, advertisers, and mortgage loan originators (Participants, you, or your) using our co-marketing platform, local business directories, and related promotional services.
1. Directory Participation & Listing Services
MLO Networks provides an online community directory and advertising platform designed to feature local businesses and service providers alongside licensed Mortgage Loan Originators (MLOs). By submitting your business name, web links, promotional copy, or imagery for directory inclusion, you grant MLO Networks and its affiliated loan officers a non-exclusive, worldwide, royalty-free license to display, format, and promote your business information within the directory network.
2. Accuracy of Submitted Information
You represent and warrant that all information provided to MLO Networks, including but not limited to business names, URLs, phone numbers, addresses, promotions, and claims, is truthful, accurate, and current. You agree not to submit deceptive, unlawful, infringing, or fraudulent materials. MLO Networks reserves the right to review, edit for formatting compliance, or remove any listing that violates our community standards.
3. Independent Business Relationship
Nothing in this Agreement creates an employment, agency, joint venture, or legal partnership between MLO Networks, participating loan officers, and listed local businesses. Each participating business operates as an independent third party responsible for its own products, services, licensing, pricing, and client communications.
4. Regulatory Compliance & Real Estate Settlement Procedures Act (RESPA)
MLO Networks operates strictly in compliance with applicable federal and state marketing guidelines, including RESPA regulations. The platform provides general community directory and advertising exposure. Inclusion in the directory does not constitute an agreement for the referral of settlement service business, nor is participation contingent upon the referral of mortgage loan business.
5. Intellectual Property & Trademarks
All platform software, layouts, AI-generated formatting engines, trademarks, and branding associated with MLO Networks are the proprietary intellectual property of MLO Networks. You retain ownership of your preexisting trademarks, logos, and business names provided for listing display.
6. Account Security & Inactivity
Subscribing members with administrative or portal dashboard access are responsible for maintaining the confidentiality of their credentials and Multi-Factor Authentication (MFA) devices. For security purposes, member sessions are subject to automated inactivity timeouts after periods of non-use.
7. Limitation of Liability
MLO Networks provides the directory and platform on an as is and as available basis without warranties of any kind, whether express or implied. To the maximum extent permitted by law, MLO Networks shall not be liable for any indirect, incidental, special, or consequential damages resulting from directory participation, website interruptions, or third-party interactions.
8. Termination & Modifications
MLO Networks reserves the right to update this Agreement periodically. Continued use of the directory platform following notice of updates constitutes acceptance of the revised terms. Either party may terminate directory participation in accordance with the specific subscription or cancellation terms applicable to their account tier.
